Terms of Service

Welcome to ExpoPilot. These Terms of Service ("Terms") govern your access to and use of the ExpoPilot website, software platform, mobile applications, APIs, and related services (collectively, the "Services").

By creating an account, purchasing a subscription, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms.

If you access or use ExpoPilot on behalf of a company, government agency, educational institution, nonprofit organization, or other legal entity, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, the terms "you" and "your" refer to both you and the organization you represent.

2. Your Account

To use certain features of ExpoPilot, you must create an account.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Providing accurate, complete, and current account information.
• All activities that occur under your account.
• Promptly notifying ExpoPilot of any unauthorized access or suspected security incident involving your account.

You are responsible for ensuring that your users comply with these Terms.

ExpoPilot reserves the right to suspend or terminate accounts that violate these Terms or pose a security risk to the Services or other users.

3. Subscription Services

ExpoPilot is provided through subscription-based plans unless otherwise stated in a separate agreement.

Unless otherwise agreed:

• Subscription fees are billed in advance.
• Plans automatically renew at the end of each billing period.
• You may cancel your subscription at any time before the next renewal date.
• Cancellation prevents future renewals but does not entitle you to a refund for the current subscription period except where required by applicable law.

We may modify pricing for future subscription terms by providing reasonable advance notice.

4. Billing and Payments

Payments are securely processed by third-party payment providers.

By purchasing a subscription, you authorize ExpoPilot to charge your selected payment method for:

• Subscription fees
• Applicable taxes
• Approved add-on services
• Other authorized charges

Failure to make timely payment may result in suspension or termination of access to the Services.

You are responsible for any taxes associated with your purchase unless otherwise stated.

5. Acceptable Use

You agree to use ExpoPilot only in accordance with applicable laws and these Terms.

You may not:

• Use the Services for unlawful or fraudulent purposes.
• Attempt to gain unauthorized access to any systems, accounts, or data.
• Upload viruses, malware, or other harmful software.
• Interfere with the security, availability, or performance of the Services.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services except where expressly permitted by law.
• Copy, reproduce, distribute, lease, sublicense, or resell the Services without our written permission.
• Use ExpoPilot to violate the intellectual property or privacy rights of others.

We reserve the right to investigate and take appropriate action regarding violations of these Terms.

6. Customer Data

You retain ownership of all data, documents, files, contacts, event information, lead information, images, and other content you submit or upload to ExpoPilot ("Customer Data").

You grant ExpoPilot a limited, non-exclusive license to host, store, process, transmit, display, and otherwise use Customer Data solely as necessary to:

• Provide the Services
• Maintain system functionality
• Improve product performance
• Comply with legal obligations
• Protect the security and integrity of the platform

You represent and warrant that you have all necessary rights and permissions to submit Customer Data to ExpoPilot.

7. AI-Powered Features

ExpoPilot includes artificial intelligence features designed to improve productivity and streamline conference and trade show operations.

These features may include:

• Lead capture assistance
• Badge and business card recognition
• Meeting summaries
• Workflow automation
• Reporting
• Content generation
• Intelligent recommendations

AI-generated content is provided for informational purposes only and may not always be complete, accurate, or appropriate for every situation.

You are responsible for reviewing and validating AI-generated outputs before relying upon them for business, legal, financial, or operational decisions.

8. Intellectual Property

ExpoPilot and all associated software, technology, designs, trademarks, service marks, documentation, graphics, logos, and content are the exclusive property of ExpoPilot or its licensors.

Except for the limited rights expressly granted under these Terms, no ownership or intellectual property rights are transferred to you.

Nothing in these Terms grants you the right to copy, modify, distribute, or create derivative works of the Services.

9. Service Availability

We strive to provide reliable, secure, and uninterrupted access to ExpoPilot.

However, we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may periodically perform maintenance, upgrades, or modifications that temporarily affect system availability.

10. Third-Party Services

ExpoPilot may integrate with third-party applications and services, including CRM platforms, marketing automation tools, payment providers, email platforms, analytics services, and event management systems.

ExpoPilot does not control and is not responsible for the content, availability, security, or privacy practices of third-party services.

Your use of any third-party service is governed by that provider's own terms and privacy policies.

11. Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use such information only as necessary to fulfill obligations under these Terms.

Confidential information does not include information that:

• Is publicly available through no fault of the receiving party.
• Was lawfully obtained from another source.
• Was independently developed without use of confidential information.
• Must be disclosed by law or legal process.

12. Suspension and Termination

You may discontinue use of ExpoPilot at any time.

ExpoPilot may suspend or terminate your access if:

• You violate these Terms.
• Subscription fees remain unpaid.
• Your use threatens the security or integrity of the Services.
• Your activities violate applicable law.
• Continued access could expose ExpoPilot or other users to legal or operational risk.

Upon termination, your right to access the Services immediately ends.

Customer Data will be retained or deleted in accordance with our Privacy Policy, applicable law, and any contractual obligations.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPOPILOT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• AVAILABILITY

ExpoPilot does not guarantee that:

• The Services will always operate without interruption.
• Errors will be corrected immediately.
• AI-generated outputs will always be accurate or suitable for every purpose.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPOPILOT, ITS AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:

• Lost profits
• Lost revenue
• Lost business opportunities
• Lost data
• Business interruption
• Loss of goodwill

ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Except where prohibited by law, ExpoPilot's total aggregate liability arising from these Terms shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless ExpoPilot and its affiliates, officers, directors, employees, contractors, licensors, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services.
• Your Customer Data.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another person's rights.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located within Michigan, and each party consents to the jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements.

When material changes are made, we will:

• Update the Effective Date.
• Publish the revised Terms on our website.
• Provide additional notice where required by applicable law.

Your continued use of ExpoPilot after revised Terms become effective constitutes your acceptance of the updated Terms.
